Terms and Conditions for B2B Engagement with Mantranam- Mental Health & Training Services

Effective Date: 11 August 2025

These Terms and Conditions ("Agreement") constitute a legal agreement between you, the company or educational institution ("Client," "You," or "Your"), and Mantranam- Mental Health & Training Services, a business providing skill-building training focused on improving mental health and personal development ("Company," "We," "Our," or "Us"). By filling out the form on our website and engaging in any business relationship with Us, you acknowledge and agree to the following terms:

1. Scope of Services

Mantranam- Mental Health & Training Services offers skill-building training programs developed to enhance mental health, personal development, and emotional well-being for employees, students, or individuals within your organization ("Services"). These Services are non-clinical and do not address mental health crises, therapy, or medical treatment. All training sessions are created and copyrighted by the founder of Mantranam, Ms. Preeti M.

2. Geographical Limitations

Our Services are available exclusively within Delhi NCR. We do not provide training or services outside Delhi NCR, and only businesses and educational institutions located within this region are eligible to access our Services.

3. Training Location

The Services will be conducted on the premises of the interested company or educational institution, at one of the Client’s designated branches or locations. Training will not be conducted at any location other than the Client's specified premises.

4. Copyright and Intellectual Property

  • Ownership: All training programs, content, methodologies, and materials delivered by Mantranam are copyrighted and owned exclusively by the founder of Mantranam, Ms. Preeti M.
  • License: The Client is granted a limited, non-transferable, and non-exclusive license to use the provided training materials solely for internal purposes within the organization, subject to the terms of this Agreement.
  • Restrictions: The Client agrees not to reproduce, distribute, or alter any materials provided by Mantranam- Mental Health & Training Services without prior written consent from the Company. This includes any video recordings, written content, presentations, and other materials used during the training.

5. Service Delivery

  • Mode of Delivery: The Services will be delivered in-person at the Client’s designated location(s) as specified during the booking process. Online training options may be available upon mutual agreement but are not the default method of delivery.
  • Training Schedule: The Client must agree to a mutually acceptable schedule for all training sessions. Any rescheduling or cancellation of a training session must be requested at least 15 business days in advance. Failure to provide timely notice may result in cancellation fees.
  • Equipment and Environment: The Client is responsible for ensuring that all necessary equipment (such as projectors, computers, internet access, etc.) and appropriate environment conditions are provided at the training location.

6. Client Responsibilities

  • Accurate Information: The Client is responsible for providing accurate details about the number of participants, the objectives of the training, and any specific needs or preferences prior to the start of the training.
  • Participant Attendance: The Client agrees to ensure that participants attend the scheduled sessions and are available at the agreed-upon times.

7. Pricing and Payment Terms

  • Fees: The cost of the Services will be determined based on the number of participants, duration of training, and scope of the program. The Client will receive a detailed quote from Mantranam- Mental Health & Training Services prior to signing any agreement.
  • Payment Terms: Payments for the training program are due within 3 days of receiving the invoice, unless otherwise agreed upon. Payments should be made via link shared from Mantranam.help@outlook.com .
  • Late Payment: Late payments may incur a fee of 50% per session on any outstanding balance. Mantranam reserves the right to suspend or cancel training if payment is not received in accordance with the terms.

8. Confidentiality

  • Confidential Information: Both parties agree to keep any proprietary or confidential information exchanged during the course of this Agreement confidential. This includes, but is not limited to, business strategies, training materials, and any personal or professional information about employees, students, or participants.
  • Non-Disclosure: The Client agrees not to disclose any confidential materials provided by Mantranam to third parties without prior written consent from the Company.

9. Limitation of Liability

Mantranam- Mental Health & Training Services will not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the Services. The Client acknowledges that the outcome of the training, including mental health improvement, cannot be guaranteed, and individual results may vary.

10. Disclaimers

  • No Crisis Management: The Services provided by Mantranam are focused solely on skill-building, personal development, and mental health improvement. These Services are not intended to address mental health crises or provide therapeutic treatment. In the event of a mental health crisis, the Client is strongly advised to seek the services of licensed professionals or emergency services immediately.
  • Therapeutic Services (On Special Request): As part of the broader therapeutic community, Mantranam can, on special request, arrange crisis management therapies or general counselling sessions (individual or group) with a licensed psychologist. These services will be charged separately and are not included in the standard skill-building training programs. Clients interested in such services should contact Mantranam in advance to discuss availability, scope, and pricing.
  • Program Content: All training content provided by Mantranam is educational in nature as of now and should not be construed as professional psychological advice, therapy, or treatment.

11. Indemnification

The Client agrees to indemnify and hold harmless Mantranam, its officers, directors, employees, and agents from any claims, damages, liabilities, or expenses arising from the Client's use of the Services, except in cases of Mantranam's gross negligence or willful misconduct.

12. Termination

Either party may terminate this Agreement with written notice period of 20 days’. If the Client terminates the Agreement prematurely, they will remain responsible for payment of all training services rendered up to the date of termination.

13. Governing Law

This Agreement shall be governed by the laws of the jurisdiction of Delhi NCR, [India]. Any disputes arising from this Agreement shall be resolved in the courts of Delhi NCR.

14. Dispute Resolution

In case of disputes, both parties agree to attempt to resolve the issue through informal discussions. If the dispute cannot be resolved within 30 days, the matter shall be referred to binding arbitration.

15. Modification of Terms

Mantranam- Mental Health & Training Services reserves the right to update and modify these Terms and Conditions. Any updates will be communicated to the Client via email or on our website, and continued engagement with the Services will constitute acceptance of the revised terms.

16. Miscellaneous

  • Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the Services provided and supersedes all previous communications, whether oral or written.
  • Severability: If any part of this Agreement is deemed unenforceable, the remainder will continue in full effect.
